Accredited Investor

An investor who meets specific financial criteria, granting them access to exclusive investment opportunities, including the ability to invest in private companies under certain securities law exemptions.

Individuals

Individuals can qualify as accredited investors based on their wealth and income. To qualify, they must have at least one of the following:

  • A net worth exceeding $1 million (excluding primary residence), or
  • Individual income of over $200,000 in each of the past two years (or $300,000 with a spouse), with a reasonable expectation of the same for the current year
  • Series 7, Series 65, or Series 82 licenses as a financial professional in good standing with FINRA.
  • For investments in private funds, “knowledgeable employees” of the fund.

Entities

Entities can also qualify as accredited investors based on their investments or assets. To qualify, entities must meet at least one of the following:

  • Entities with assets exceeding $5 million, such as corporations, partnerships, LLCs, trusts, charitable organizations, family offices, and employee benefit plans.
  • Certain financial entities, including banks, insurance companies, registered investment companies, and business development companies.
  • SEC-registered broker-dealers, investment advisers that are registered with the SEC or a state, and exempt reporting advisers.
  • An entity where all equity owners are accredited investors.
